1. Acceptance of Terms

Welcome to SyncSlide! These Terms of Service ("Terms") govern your access to and use of SyncSlide's video-to-presentation conversion service (the "Service"). By creating an account, accessing, or using SyncSlide, you agree to be legally bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("you," "your," or "User") and SyncSpire Ventures Inc., a corporation incorporated under the laws of Canada, operating as SyncSlide ("we," "our," "us," "SyncSlide," or "SyncSpire Ventures"). We may update these Terms from time to time, and your continued use of the Service after such updates constitutes acceptance of the modified Terms.

2. Description of Service

SyncSlide provides an automated video-to-presentation conversion service that transforms video content into professional slide decks. Our Service includes:

Core Features

• Video Upload: Upload videos from your device (up to 2GB for paid users, 100MB for free users)
• AI-Powered Processing:
  • Automatic scene detection to identify natural slide breaks
  • Optical Character Recognition (OCR) to extract text from video frames
  • Speech-to-text transcription using AI
  • Transcript cleaning and formatting using AI
• Processing Modes:
  • Smart Mode (available on all plans): Lightning-fast processing using advanced AI for transcription and text extraction. Processing time: 1-2 minutes for a 10-minute video.
  • Protected Mode (available on all plans): 100% private, encrypted processing with no third-party services. All processing happens on our private infrastructure. Processing time: 3-5 minutes for a 10-minute video. Ideal for sensitive content and compliance requirements (HIPAA, GDPR).
  • Credit pricing is identical for both modes. All users may choose their preferred processing mode when uploading videos.
• Slide Editor: Web-based editor to customize slides, edit text, and adjust layouts before export
• Multiple Export Formats:
  • Microsoft PowerPoint (.pptx)
  • PDF documents with slides and transcripts
  • Google Slides (shareable links)
• Credit-Based System: Purchase credits or subscribe for monthly credit allotments

Service Limitations

You acknowledge and agree that:

• Processing quality depends on video quality, audio clarity, and content complexity
• AI transcription and OCR may not be 100% accurate and may require manual review
• Processing times vary based on video length, system load, and selected features
• We do not guarantee specific processing times or results
• The Service is provided "as-is" without warranties (see Section 9)

3. User Accounts and Eligibility

Account Requirements

To use SyncSlide, you must:

• Be at least 13 years old (or the age of majority in your jurisdiction)
• Provide accurate information: Your email address, name, and other required details must be truthful
• Maintain account security: You are responsible for keeping your password secure and confidential
• Accept our Privacy Policy: Agree to how we collect, use, and protect your data
• Have legal capacity: Be legally able to enter into binding contracts in your jurisdiction

Account Responsibilities

• One account per person: You may not create multiple accounts to circumvent usage limits or abuse the Service
• No account sharing: Your account is for your personal or business use only and may not be shared
• Security breaches: Notify us immediately if you suspect unauthorized access to your account
• Account accuracy: Keep your account information up to date
• Liability for account activity: You are responsible for all activity that occurs under your account

Account Verification

You must verify your email address to use certain features. We may suspend or terminate unverified accounts or accounts suspected of fraudulent activity.

4. Credits, Billing, and Payments

Credit System

SyncSlide operates on a credit-based system:

• Credit costs are calculated based on:
  • Video duration (per-minute multipliers)
  • Features enabled (transcription, OCR, transcript cleaning)
  • Export formats (Google Slides incurs additional costs)
• Credit estimation: We provide cost estimates before processing, but final costs may vary based on actual processing
• Credit reservation: Credits are reserved when you start a job and finalized when processing completes
• Failed jobs: Credits are refunded for jobs that fail due to our system errors
• Insufficient credits: Jobs will not start if you have insufficient credits in your account

Pricing Plans

We offer the following pricing options:

• Free Tier:
  • 30 free credits upon signup
  • 100MB maximum video size
  • Watermark on exported presentations
  • Limited features
• Credit Packs (one-time purchase):
  • Various packages from 10 to 500+ credits
  • Credits never expire
  • Bonus credits on larger packs
  • Prices subject to change (see current pricing at Pricing)
• Monthly Subscriptions:
  • Monthly credit allotment (varies by plan)
  • 2GB maximum video size
  • No watermarks
  • Priority processing
  • Unlimited credit rollover while subscribed
  • Auto-renews monthly unless cancelled
• 3-Day Pro Trial:
  • Full Pro features for 3 days
  • Credit card required (not charged during trial)
  • Automatically converts to paid subscription unless cancelled before trial ends
  • Must cancel at least 24 hours before trial ends to avoid charges

Payment Terms

• Payment processor: All payments are processed securely through Stripe
• Accepted payment methods: Credit cards, debit cards (as supported by Stripe)
• Currency: All prices are in USD unless otherwise stated
• Billing cycle: Subscriptions are billed monthly on the date you subscribed
• Auto-renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Failed payments: If a subscription payment fails, we will:
  • Attempt to charge your payment method up to 3 times
  • Send email notifications about the failed payment
  • Suspend your account if payment is not received within 7 days
  • Delete your account and data if payment is not received within 30 days
• Price changes: We may change prices with 30 days' notice. Existing subscriptions are honored at the original price for the current billing cycle

Credit Rollover (Subscriptions Only)

• Unused subscription credits roll over indefinitely while subscribed—no cap
• Rollover credits are lost if you cancel your subscription
• Credits purchased as one-time packs do not expire (they persist indefinitely)

Refund and Cancellation Policy

We want you to be satisfied with your purchase. Our refund policy is designed to be fair while protecting against abuse:

• Credit packs (one-time purchases):
  • Refund requests accepted within 7 days of purchase if no credits have been used
  • Once credits are used, that portion is non-refundable
• Subscriptions:
  • Cancel anytime from your account settings—no questions asked
  • Access continues until the end of your current billing period
  • No refunds for partial months, but you keep access for the full paid period
  • Refund requests for the current billing period accepted within 7 days of charge if no credits were used
• Free trial: No charge during trial. Cancel before trial ends to avoid charges
• Failed jobs: Credits are automatically refunded if a job fails due to our system errors
• How to request a refund: Contact us at support@syncslide.com with your account email and reason for the request. We respond within 48 hours
• Refund processing: Approved refunds are processed within 5-10 business days to your original payment method
• Chargeback policy: Please contact us before initiating a chargeback—we want to resolve issues directly. Chargebacks for valid charges may result in account termination

Service Delivery

SyncSlide is a digital service delivered entirely online:

• Instant access: Credits and subscription features are available immediately upon successful payment
• Digital delivery: All outputs (presentations, PDFs) are delivered digitally via download or Google Slides link
• Processing times: Video processing typically takes 1-5 minutes depending on video length and selected mode
• No physical goods: This service does not include any physical products or shipping

Taxes

You are responsible for all applicable taxes (sales tax, VAT, GST, etc.) based on your location. Taxes may be added to your purchase at checkout as required by law.

5. Acceptable Use Policy

Permitted Uses

You may use SyncSlide to:

• Convert your own original videos or videos you have explicit permission to process
• Process videos where you own all intellectual property rights or have obtained proper licenses
• Create presentations for personal, educational, or commercial purposes (subject to applicable licenses)
• Process publicly available content where you have verified you have the legal right to do so

Prohibited Uses

You agree NOT to:

• Upload illegal content:
  • Content that violates any law or regulation in your jurisdiction or ours
  • Child sexual abuse material (CSAM) or content exploiting minors
  • Content promoting terrorism, violence, or hate speech
  • Content that infringes on others' rights (copyright, trademark, privacy, publicity, etc.)
  • Content that violates export control laws or sanctions
• Violate intellectual property rights:
  • Upload videos you don't own or have explicit permission to use
  • Process copyrighted content without proper authorization or valid legal basis (such as fair use/fair dealing)
  • Process content that infringes on third-party intellectual property rights (patents, trademarks, trade secrets)
  • Remove, alter, or obscure copyright notices, watermarks, or attribution information
  • Process content obtained through unauthorized means or in violation of third-party terms of service
• Violate third-party rights and terms:
  • Process videos obtained in violation of any platform's terms of service or acceptable use policy
  • Violate content creators' licenses, usage restrictions, or distribution rights
  • Process content where you are prohibited from downloading, copying, or redistributing
  • Violate privacy rights by processing videos containing identifiable individuals without proper consent
  • Use content in a manner inconsistent with the original creator's licensing terms
• Abuse the Service:
  • Circumvent usage limits, credit costs, or other restrictions
  • Create multiple accounts to exploit free trials or free credits
  • Use automated tools (bots, scripts) to access the Service without permission
  • Reverse engineer, decompile, or attempt to extract source code
  • Overload or disrupt our systems (DoS attacks, spam, etc.)
  • Attempt to gain unauthorized access to our systems or other users' accounts
• Misuse outputs:
  • Claim AI-generated content as entirely your own original work without disclosure (where disclosure is required)
  • Use outputs for illegal, harmful, fraudulent, or deceptive purposes
  • Redistribute outputs in violation of the original content's license or terms
  • Use outputs to create misleading, defamatory, or harmful content

Legal Compliance and Content Rights

You are solely responsible for ensuring that all content you upload to SyncSlide complies with applicable laws and that you have all necessary rights, licenses, and permissions to:

• Upload and process the content: You must own the content or have explicit authorization from the rights holder
• Obtain content from its source: If you obtained video content from any third-party platform, service, or website, you are responsible for complying with that platform's terms of service, acceptable use policies, and any restrictions on downloading, copying, or processing content
• Use any licensed materials: If the video contains licensed music, stock footage, fonts, or other third-party materials, you must have appropriate licenses for processing and redistribution
• Process personal data: If videos contain identifiable individuals, you must comply with privacy laws (GDPR, CCPA, etc.) and have proper consent or legal basis for processing
• Export and use outputs: You must ensure your use of generated presentations complies with applicable copyright laws, licensing terms, and fair use/fair dealing doctrines in your jurisdiction
• Commercial use: If using outputs for commercial purposes, ensure you have commercial licenses for all underlying content (music, footage, images, etc.)

Fair Use and Fair Dealing: Some jurisdictions provide exceptions to copyright (such as fair use in the United States or fair dealing in Canada and the UK) for purposes such as criticism, commentary, news reporting, teaching, scholarship, or research. These exceptions have specific legal requirements and limitations. You are solely responsible for determining whether your use qualifies as fair use/fair dealing. When in doubt, seek legal advice or obtain permission from the content owner.

Platform-Specific Terms: If you obtained video content from any video platform, streaming service, social media platform, or other third-party service, you acknowledge and agree that:

• You are responsible for complying with that platform's terms of service and policies
• You will only process content you have the legal right to download and use
• SyncSlide is not responsible for your violations of third-party terms or policies
• Many platforms prohibit downloading or processing content without permission - you must verify compliance

Content Moderation

We reserve the right to review, monitor, and remove content that violates these Terms. We may use automated systems and manual review to detect prohibited content. We are not obligated to monitor all user content but may do so for safety, legal compliance, and service quality.

Consequences of Violations

If you violate this Acceptable Use Policy, we may:

• Terminate or suspend your account immediately
• Delete your content and outputs
• Forfeit any unused credits or subscription time without refund
• Report illegal activity to law enforcement
• Pursue legal action and seek damages
• Ban you from creating future accounts

6. Intellectual Property Rights

Your Content Ownership

You retain ownership of all videos and content you upload to SyncSlide. We do not claim ownership of your input content.

Your Representations and Warranties

By uploading content to SyncSlide, you represent and warrant that:

• Ownership or Authorization: You own all rights to the content or have obtained all necessary permissions, licenses, and authorizations from rights holders to upload, process, and use the content
• No Infringement: Your content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or any other rights
• Lawful Content: Your content complies with all applicable laws, regulations, and third-party terms of service
• Accuracy: All information you provide is accurate, current, and complete
• Authority to Grant License: You have the legal right and authority to grant the licenses described in these Terms
• No Harmful Content: Your content does not contain viruses, malware, or any harmful code

License You Grant to Us

By uploading content to SyncSlide, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

• Store, process, and analyze your videos to provide the Service
• Use AI/ML tools (OCR, speech-to-text, etc.) to process your content
• Generate outputs (presentations, transcripts, etc.) based on your content
• Share your content with third-party service providers necessary for processing (including AI service providers and cloud infrastructure providers)

This license terminates when your content is deleted from our systems (24 hours for videos, 30 days for outputs, or earlier if you manually delete them).

Important: By granting us this license, you confirm that you have the legal right to do so and that processing your content through our Service and third-party providers does not violate any agreements, licenses, or terms you are bound by.

AI-Generated Content Ownership

You own the outputs generated by SyncSlide (presentations, transcripts, etc.), subject to:

• Your ownership of the input content (you must have rights to the source video)
• Any third-party rights in the input content (e.g., if you process someone else's copyrighted video)
• Attribution requirements for AI-generated content under applicable laws

Important: AI-generated content (transcripts, extracted text) may not be eligible for copyright protection in some jurisdictions. Consult legal counsel if you have questions about copyright in AI outputs.

SyncSlide's Intellectual Property

SyncSlide and all aspects of the Service (software, algorithms, design, branding, trademarks, etc.) are owned by SyncSlide and protected by copyright, trademark, and other intellectual property laws.

You agree NOT to:

• Copy, modify, or create derivative works of our Service
• Use our trademarks, logos, or branding without written permission
• Remove or alter any copyright, trademark, or proprietary notices
• Reverse engineer or decompile our software

Trademark Notice

"SyncSlide" and the SyncSlide logo are trademarks of SyncSlide. All other trademarks mentioned are the property of their respective owners.

Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe content on SyncSlide infringes your copyright, please contact us at privacy@syncslide.app with:

• Description of the copyrighted work
• URL or location of the infringing content
• Your contact information
• Statement of good faith belief that use is unauthorized
• Statement that information is accurate and you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

7. Data Retention and Deletion

Automatic Deletion

To protect your privacy and manage storage costs, we automatically delete:

• Uploaded videos: 24 hours after upload
• Generated outputs (PowerPoint, PDF, Google Slides): 30 days after creation
• Temporary processing files: Immediately after job completion

Important: After these periods, your content is permanently deleted and cannot be recovered. Download your files before they are automatically deleted.

Manual Deletion

• You can delete videos and outputs anytime before automatic deletion
• Deleted content is permanently removed from our systems within 24 hours
• Credits are NOT refunded for manually deleted jobs

Account Deletion

• You can delete your account anytime from account settings
• Account deletion is permanent and cannot be undone
• All your content (videos, outputs, jobs) is deleted
• Unused credits and subscription time are forfeited (non-refundable)
• We retain certain data for legal compliance (e.g., payment records for 7 years for tax purposes)

8. Service Availability and Modifications

No Uptime Guarantee

We strive to provide reliable service but do not guarantee:

• Uninterrupted access to the Service
• Error-free operation
• Specific processing times or speeds
• Availability during maintenance, outages, or force majeure events

Maintenance and Downtime

• We may perform scheduled maintenance with or without notice
• Emergency maintenance may be performed without notice
• No compensation or refunds are provided for service downtime

Service Modifications

We reserve the right to:

• Modify, update, or discontinue features at any time
• Change pricing, credit costs, and subscription plans with 30 days' notice
• Add or remove third-party integrations
• Impose new limitations on usage

Service Discontinuation

We reserve the right to discontinue the Service entirely with 90 days' notice. In such case:

• You will have 90 days to download your content
• Pro-rata refunds for unused subscription time may be provided at our discretion
• Unused credit packs are forfeited (non-refundable)

9. Disclaimers and Warranties

AS-IS Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Merchantability: Fitness for a particular purpose
• Accuracy: We do not guarantee the accuracy of AI transcriptions, OCR, or any outputs
• Reliability: We do not guarantee error-free, uninterrupted, or timely service
• Security: While we implement security measures, we cannot guarantee absolute security
• Suitability: We do not warrant that the Service meets your specific requirements
• Third-party services: We are not responsible for failures of third-party services (payment processors, AI service providers, cloud infrastructure providers, etc.)

AI-Generated Content Disclaimer

AI-generated transcripts and text extracted via OCR may contain errors, inaccuracies, or omissions. You are responsible for reviewing and verifying all outputs before use. We are not liable for any damages resulting from inaccurate or incomplete AI-generated content.

No Professional Advice

SyncSlide is a tool for creating presentations and does not provide professional, legal, medical, financial, or other specialized advice. Any content generated by the Service should not be relied upon as professional advice.

User Responsibility

You are solely and exclusively responsible for:

• Content legality: Ensuring all content you upload is lawful in your jurisdiction and ours
• Rights and permissions: Verifying you have all necessary rights, licenses, permissions, and authorizations to upload, process, and use all content
• Third-party compliance: Complying with any third-party terms of service, licenses, or restrictions applicable to content you process (including but not limited to video platforms, content licensing agreements, music licenses, stock footage terms, etc.)
• Intellectual property compliance: Ensuring your use of the Service and outputs does not infringe any copyright, trademark, patent, trade secret, or other intellectual property right
• Privacy compliance: Complying with all applicable privacy and data protection laws (GDPR, CCPA, PIPEDA, etc.) when processing videos containing personal data or identifiable individuals
• Output verification: Reviewing and verifying all AI-generated outputs for accuracy before use, as AI outputs may contain errors or inaccuracies
• Legal use of outputs: Ensuring your use of generated presentations complies with applicable copyright laws, fair use/fair dealing doctrines, and any licensing restrictions on underlying content
• International compliance: Complying with export control laws, sanctions, and other international regulations that may apply to your use of the Service
• Consequences and liability: Accepting full responsibility for any legal, financial, or other consequences arising from your use of the Service, including any claims by third parties

No Legal Advice: SyncSlide does not provide legal advice regarding copyright, licensing, fair use, or any other legal matters. If you are uncertain about your legal rights or obligations, consult with qualified legal counsel before using the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCSLIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Specific Limitations

We are not liable for damages resulting from:

• Service errors, bugs, or inaccuracies in AI-generated content
• Service downtime, interruptions, or unavailability
• Data loss, corruption, or unauthorized access to your account
• Third-party service failures (payment processors, AI service providers, cloud infrastructure providers, etc.)
• Your violation of these Terms or applicable laws
• Copyright infringement or other legal claims arising from your use of the Service
• Any content you upload or outputs you generate

Maximum Liability Cap

IN NO EVENT SHALL SYNCSLIDE'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF:

• $100 USD, OR
• The amount you paid to SyncSlide in the 12 months preceding the claim

Exclusions

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SyncSlide, its officers, directors, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you upload or process
• Copyright infringement or intellectual property violations
• Any claim that your content caused harm to another party

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

12. Termination

Your Right to Terminate

You may terminate your account at any time by:

• Deleting your account from account settings
• Cancelling your subscription (if applicable)
• Contacting support

Upon termination:

• Your access to the Service ends immediately
• All your content is deleted (videos, outputs, jobs)
• Unused credits and subscription time are forfeited (non-refundable)
• You remain liable for any outstanding fees or obligations

Our Right to Terminate

We may suspend or terminate your account immediately, without notice or liability, if:

• You violate these Terms or our Acceptable Use Policy
• You engage in fraudulent, illegal, or harmful activity
• Your payment fails and remains unpaid for 30 days
• We are required to do so by law or legal process
• Continuing your account poses a security or legal risk
• You abuse the Service or engage in activity that harms SyncSlide or other users

Upon termination by us:

• Your access ends immediately
• Your content may be deleted without notice
• No refunds are provided
• You may be banned from creating future accounts

Survival

The following sections survive termination: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

13. Dispute Resolution and Governing Law

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the laws of Canada applicable therein, without regard to conflict of law principles. Where Quebec law applies, these Terms are subject to the provisions of the Civil Code of Quebec and the Consumer Protection Act.

Language

The parties have expressly requested that these Terms and all related documents be drafted in English.Les parties ont expressément demandé que la présente convention ainsi que tous les documents qui s'y rattachent soient rédigés en anglais.

Informal Resolution

Before filing any legal claim, you agree to contact us at privacy@syncslide.app to attempt to resolve the dispute informally. We will work in good faith to resolve disputes amicably.

Jurisdiction and Venue

You agree that any legal action arising from these Terms shall be filed exclusively in the courts located inMontreal, Quebec, Canada, and you consent to the personal jurisdiction of such courts. Each party irrevocably submits to the exclusive jurisdiction of the courts of the Province of Quebec sitting in the judicial district of Montreal.

Consumer Protection (Quebec Residents)

If you are a consumer in Quebec, nothing in these Terms affects your rights under Quebec's Consumer Protection Act (Loi sur la protection du consommateur). Where these Terms conflict with mandatory consumer protection laws, those laws shall prevail.

Time Limit for Claims

Subject to applicable limitation periods under Quebec and Canadian law, any claim arising from these Terms should be brought within a reasonable time. Under Quebec's Civil Code, the general prescription period for personal actions is three (3) years from the day the right of action arises.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last updated" date at the top of this page
• For material changes, we will notify you via email or prominent notice on the Service
• Changes take effect 30 days after notice (or immediately for legal compliance)
• Your continued use of the Service after changes take effect constitutes acceptance of the new Terms

If you do not agree to the modified Terms, you must stop using the Service and delete your account before the changes take effect.

15. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SyncSlide and supersede any prior agreements or understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without restriction.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Third-Party Rights

These Terms do not create any third-party beneficiary rights except as expressly stated.

Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the Service.
